This document outlines the terms and conditions for the use of our Websites and Services.

Paperful, Inc. ('Paperful') is a U.S. company with its registered office at 447, 166 Geary St, STE 1500, San Francisco, CA 94108, USA, represented by Mr. Paulo Silva, its CEO and Founder.

Paperful is pleased to provide you with access to its websites, applications, and related resources (collectively, the 'Services').

1. Acceptance of Terms

By accessing or using Paperful (referred to as "the Software"), you agree to comply with and be bound by these Terms of Service (referred to as "the Terms"). If you do not agree to these Terms, you may not access or use the Software. These Terms apply to all users, including visitors, registered users, and anyone who accesses or interacts with the Software.

2. User Accounts

To access certain features of the Software, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to keep this information updated as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. If you suspect any unauthorized access or activity, you must notify us immediately.

3. Usage

You agree to use the Software solely for lawful purposes and in accordance with these Terms. Specifically, you agree that you will not:

  • Use the Software in any manner that violates any applicable laws, regulations, or legal obligations.
  • Upload, post, or share any content that is unlawful, harmful, offensive, or that infringes the intellectual property rights or other rights of others.
  • Attempt to gain unauthorized access to the Software, user accounts, content, data, or any other systems connected to the Software.
  • Engage in any activity that interferes with, disrupts, or compromises the security or functionality of the Software.

4. Collaboration and Content

The Software allows users to upload, create, share, and collaborate on content (referred to as "User Content"). By uploading or sharing User Content on the Software, you grant Paperful a limited license to process, reproduce, display, and distribute your content as necessary to operate and improve the Software, in accordance with these Terms. This license also extends to our subcontractors or sub-processors who help deliver the services.

You retain all ownership rights to your User Content. However, you are solely responsible for the content you post and share. Paperful does not endorse, control, or take responsibility for any User Content, and we reserve the right to remove content that violates these Terms or applicable law.

5. Backup and Retention

The customer is solely responsible for retaining and backing up their data ("Customer Data"). Paperful is not responsible for the loss, corruption, or destruction of Customer Data, nor for any costs or expenses associated with backing up or restoring such data.

The customer acknowledges and agrees that they bear full responsibility for the adequate backup and retention of Customer Data. Furthermore, the customer is solely responsible for using a secure, encrypted connection when transmitting data or files to Paperful if they wish to protect the transmission.

Paperful shall have no liability for any corruption, deletion, destruction, or loss of Customer Data.

6. Pricing and Payment

Certain services on the Software may be offered for a fee or subscription. You agree to pay all applicable fees and charges in accordance with the pricing plan you select. All fees are non-refundable unless otherwise specified in our Refund Policy.

  • Billing Information: You must provide valid and current billing information to complete transactions. We use Stripe, a secure third-party payment processor, and do not store your payment details.
  • Currency and Taxes: All prices are listed in U.S. Dollars (USD). You are responsible for paying any applicable taxes or other charges related to your use of the Software.
  • Price Changes: Paperful reserves the right to modify service pricing at any time. If you have an active subscription, we will notify you in advance of any price changes that affect your current plan.

7. Subscription Services

The Software may offer subscription-based services ("Subscription Services"). Subscription plans may automatically renew at the end of each billing cycle unless you cancel your subscription before the renewal date.

  • Subscription Term: Subscriptions are available on a monthly or annual basis. You can manage your subscription preferences and billing information through your account settings.
  • Cancellation: You may cancel your subscription at any time. However, the cancellation will take effect at the end of your current billing period, and no refunds will be issued for partial billing periods unless otherwise required by law.
  • Free Trials and Promotions: Paperful may offer free trials or promotional subscriptions. At the end of a free trial, you will be charged the applicable rate for the service unless you cancel before the trial period ends or if you have not entered your billing information during the trial period.

8. Intellectual Property

All content, features, and functionality of the Software (excluding User Content), including but not limited to text, graphics, logos, and software, are the exclusive property of Paperful or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or otherwise exploit any content on the Software without express prior written permission from Paperful.

9. Privacy and Data Protection

Your use of the Software is governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Software, you acknowledge that you have read and understood the Privacy Policy, and you consent to the collection and use of your information as described therein.

10. Compliance with Laws

You agree to comply with all applicable local, national, and international laws and regulations when using the Software. This includes, but is not limited to, laws related to intellectual property, privacy, data protection, and any other legal obligations you may have as a user of the Software.

11. Termination

We reserve the right to suspend or terminate your access to the Software at any time, with or without notice, for conduct that we believe, in our sole discretion, violates these Terms, violates applicable law, or is harmful to other users, Paperful, or third parties.

12. Disclaimer of Warranties

The Software is provided on an "as-is" and "as-available" basis. Paperful makes no warranties, express or implied, regarding the Software's operation, availability, or performance, including but not limited to any warranties of merchantability, fitness for a particular purpose, or non-infringement.

13. Limitation of Liability

To the fullest extent permitted by law, Paperful shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or relating to your use of or inability to use the Software, even if we have been advised of the possibility of such damages.

14. Dispute Resolution

In the event of a dispute arising out of or relating to these Terms or your use of the Software, you agree to first attempt to resolve the dispute informally by contacting us at hello@paperful.io.

You must provide a brief written description of the dispute, including relevant facts and any supporting documentation, to facilitate the resolution process.

15. Miscellaneous

  • Entire Agreement: These Terms, along with our Privacy Policy and any additional terms or agreements referenced herein, constitute the entire agreement between you and Paperful regarding your use of the Software.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision. Any waiver must be made in writing to be effective.
  • Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms, or any of our rights or obligations, at any time without restriction.

16. Changes to the Terms

We reserve the right to update or modify these Terms at any time. Any changes will be effective immediately upon posting the revised version within the Software or on our website. Your continued use of the Software after any changes have been posted constitutes your acceptance of the revised Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be exclusively resolved in the state or federal courts located in California, and you consent to the jurisdiction of such courts.

19. Definitions

  • End Users are people who use the Customer's account on Paperful. They can include the Customer's employees, consultants, agents, representatives, students, or anyone else the Customer allows to use the Services through their account.
  • End User Account is an account created by the Customer for someone (an End User) to use the Services.
  • Intellectual Property Rights means legal rights that protect things like patents, copyrights, trade secrets, trademarks, and other similar rights, now and in the future, worldwide.
  • Privacy Policy refers to Paperful's policy that explains how we collect, use, and protect personal information. You can find it at https://paperful.io/privacy.
  • Services refers to what Paperful provides, which includes: (a) the Paperful website (https://paperful.io); (b) tools for communication and sharing information, including interactive features on the website; (c) other services we offer as listed in an Order Form; (d) the Software; and (e) any other materials.
  • Software is any software provided by Paperful, either directly from us or through app stores and other third-party services.
  • Sub-processor is a company or person who handles Customer Data on behalf of Paperful, or for one of our partners, to help deliver the Services.
  • Term refers to the duration of this agreement. It starts on the date you agree to these Terms and continues until either the end of the service period or the agreement is terminated.
  • Third Party Service means any service, application, website, or resource provided by a company other than Paperful.
